TERMS & CONDITIONS FOR ARTISTS
When an Artist agrees to offer artworks through Irving Gallery Ltd, whether online on the Gallery website or exhibited physically in the Gallery at Oxford or at any other physical venue (e.g. art fairs, pop-up exhibitions at different venues), the consignment period is considered to begin when Irving Gallery has confirmed the selection of works. Once work has been selected for consignment to Irving Gallery, it must be available exclusively through Irving Gallery. Typically the consignment period is for six months, or for the exhibition period plus four further months following the close of the exhibition, whichever is longer. At the end of the consignment period, Irving Gallery Ltd will liaise with the Artist to either extend the consignment period, or to terminate the consignment period, by mutual agreement.
Irving Gallery Ltd agrees to pay all expenses related to the work during the consignment period, including insurance costs for the full retail value, exhibition costs if applicable, online hosting costs, marketing costs, cost of shipping to the buyer if sold.
The Artist (the Consignor) is responsible for delivering and collecting the work before and after the Exhibition Period.
Both parties agree to share a 10% discount price on the retail price given at the discretion of Irving Gallery Ltd.
60% of the final retail price will go to the Artist (the Consignor) and 40% to Irving Gallery Ltd. This percentage split will remain at 60% Artist-40% Gallery until the end of 2025, when it will be reviewed and updated.
Irving Gallery Ltd will inform the Artist of any sale of their Artwork within 7 days of the proceeds of the sale being received by the Gallery into Irving Gallery’s bank account. The Artist (the Consignor) must then invoice Irving Gallery Ltd for their percentage of the sale, and Irving Gallery Ltd will pay the Artist within 14 days of receipt of the Artist’s invoice. Irving Gallery is fully committed to paying its Artists quickly and efficiently for artwork sales made through the Gallery.
Should the work remain unsold at the end of the Exhibition Period, the work will be collected by the Artist (the Consignor) or their appointed agent (e.g. courier) within 21 days from the end date of the Exhibition Period, unless otherwise agreed in writing by both parties. The work will then be stored by the Artist (the Consignor) until the end of the Consignment Period.
The Artist (the Consignor) confirms that the artwork is free and clear of all encumbrances and is fully available for sale, and that the artwork will be made exclusively available for sale through Irving Gallery Ltd throughout the duration of the Consignment Period. Work must not be submitted for consideration and selection by Irving Gallery if it is under consideration elsewhere (e.g. submitted for an Open Call, etc.).
This agreement is construed in accordance with the laws of England. Any and all claims arising from this agreement shall be adjudicated in the courts of England. Any amendments to this agreement shall be put forth in writing.
